{"id":4031,"date":"2012-02-07T19:21:09","date_gmt":"2012-02-07T19:21:09","guid":{"rendered":"https:\/\/kibo.energy\/?p=4031"},"modified":"2014-06-12T15:10:32","modified_gmt":"2014-06-12T15:10:32","slug":"kibo-mining-plc-issue-of-equity-07-feb-2012","status":"publish","type":"post","link":"https:\/\/kibo.energy\/index.php\/kibo-mining-plc-issue-of-equity-07-feb-2012\/","title":{"rendered":"Kibo Mining plc &#8211; Issue of Equity 07 Feb 2012"},"content":{"rendered":"<p>Kibo  Mining  plc  (\u201cKibo\u201d  or  the  \u201cCompany\u201d)  (AIM:  KIBO;  AltX:  KBO),  the  mineral exploration  and  development  company  focused  on  gold  and  nickel  projects  in  Tanzania  is pleased to announce that  Mzuri  Gold  Limited  (\u201cMzuri\u201d)  has  today  agreed  to  subscribe for  a total of 37,500,000 new Ordinary Shares of \u20ac0.01 each in the capital of the Company at a  placing  price  of  2p  per  new  Ordinary  Share  to  raise  \u00a3750,000,  before  expenses (the \u201cPlacing\u201d).  <!--more-->This  represents  a  premium  of  approximately  23%  to  the  mid-market  price,  of 1.625p,  immediately  prior to agreeing the Placing  The net proceeds from the Placing will be used to finance continued exploration in Tanzania and for general working capital purposes.<\/p>\n<p>The  Placing  is  conditional  on  the  37,500,000  new  Ordinary  Shares  of  \u20ac0.01  each  in  the capital of the Company (the \u201cPlacing Shares\u201d) being admitted to trading on AIM and the JSE Limited  (the  \u201cJSE\u201d).  The  Placing  Shares  will  represent  approximately  9.03per  cent  of  the issued share capital of the Company as enlarged by the Placing.<\/p>\n<p>Following the  Placing, Mzuri  and  its  related party\u2019s  will hold  122,072,273  Ordinary Shares, which is approximately 29.41% of the issued share capital of the Company as enlarged by the Placing.<\/p>\n<p>An  application  will  be  made  to  the  London  Stock  Exchange  (the  LSE\u201d)  and  JSE  for  the Placing  Shares,  which  will  rank  pari  passu  with  the  Company\u2019s  existing  issued  Ordinary Shares, to be admitted to trading and dealings are expected  to commence  on the LSE  at 8:00 a.m. (GMT) on Thursday 16 February  2012  and  to commence  on the JSE at 10:00 a.m. on  or about Thursday 16 February 2012.<\/p>\n<p>Following the issue of  the Placing Shares  the Company\u2019s total issued share capital will be 415,129,511  Ordinary  Shares  of  \u20ac0.01  each.  In  accordance  with  the  Financial  Services Authority  Disclosure  and  Transparency  Rules,  the  Company  has  415,129,511  Ordinary Shares of  \u20ac0.01  each in issue, each share carrying the right to one vote. The Company does not hold any Ordinary Shares in Treasury.<\/p>\n<p>The  above  figure  of  415,129,511  Ordinary  Shares  may  be  used  by  Shareholders  in  the Company as the denominator for the  calculations by which they  will determine if they are required  to  notify  their  interest  in,  or  a  change  to  their  interest  in,  the  share  capital  of  the Company under the Financial Service Authority&#8217;s Disclosure and Transparency Rules.<\/p>\n<p>Commenting today, Louis Coetzee, CEO of Kibo said:<\/p>\n<p><em>&#8220;We  are  delighted  with  this  fund  raising  as  it  allows  us  to  complete  Stage  1  of  the  field exploration  now  in  progress  on  our  Tanzanian  projects.
